Before you access our services, please read these Terms of Use carefully.

These Terms of Use (the "Terms") govern your use of MiloPrep and any associated applications, software, and websites (collectively, the "Services"). This forms a legally binding contract between you ("User", "you") and MiloPrep ("we", "us", "our"). By accessing the Services, you agree to be bound by these Terms.

You must be at least 18 years old to use the Services. If you do not agree to these Terms, you may not access or use the Services.

1. Access and Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your personal, non-commercial exam preparation.

1.1 Account Responsibilities

You are responsible for keeping your account sign-in details confidential and for all activity that occurs under your account. Accounts are personal and may not be shared, sold, or transferred. Notify us promptly of any unauthorised use.

1.2 Prohibited Conduct

You agree not to:

  • Copy, scrape, republish, resell, or redistribute any question, explanation, or other content from the Services.
  • Share your account with any other person or allow others to access the Services through your sign-in details.
  • Use automated tools to extract content or to place unreasonable load on the Services.
  • Reverse engineer, decompile, or attempt to derive the source code or underlying models of the Services.
  • Use the Services to develop a competing product, or to train a machine learning model.
  • Circumvent usage limits, access controls, or security measures.
  • Upload or transmit unlawful, infringing, or malicious content.

1.3 Usage Limits and Abuse

We may apply reasonable usage limits to protect the Services and other users. We may suspend or terminate access where we reasonably believe an account is being used abusively, shared, or used in breach of these Terms.

2. Ordering and Fees

The paid options are Monthly at $49 / month and Quarterly at $99 / 3 months in USD. Monthly and Quarterly include identical premium access. Signup and billing are available in the product app. Prices displayed on the site are exclusive of any applicable sales tax.

2.1 Third-Party Processors

Payments are handled by third-party payment processors. Your use of those services is subject to their terms. We will not store full payment card numbers.

2.2 Taxes

Fees do not include sales or use tax. Where we determine we have a legal obligation to collect such tax, we will collect it in addition to the fees. If tax is due in a jurisdiction and you have not remitted it to us, you remain responsible for paying it, along with any related penalties or interest, to the relevant tax authority.

3. Subscription, Trial, and Refunds

We plan to offer a Free plan that includes a 5-day premium-feature trial with published daily safeguards, then ongoing limited practice at no charge. No payment card is required to start the Free trial, and Free does not convert into a paid subscription automatically. A paid subscription is optional if you want premium access.

3.1 Subscription Management

Under the current pricing, Monthly renews monthly and Quarterly renews every 3 months until cancelled. You can cancel renewal at any time through your account settings or by emailing support@miloprep.com. Paid access continues until the end of the period already purchased. The Free plan has no renewal charge.

3.2 Billing and Fee Changes

We may modify subscription fees at our discretion. Any change will take effect at the end of the current subscription period, and we will give reasonable advance notice so you can cancel before it applies. Continuing to use the Services after a fee change takes effect will constitute agreement to the new fee.

3.3 Refund Policy

Fees already paid for the current subscription period will be non-refundable except where required by law. Where a free trial is offered before purchase, we expect you to evaluate the Services during the trial.

4. Intellectual Property

The Services, including all questions, explanations, study materials, software, and design, are owned by us or our licensors and are protected by intellectual property laws. These Terms grant you access, not ownership.

Trademarks of awarding bodies referenced on the Services remain the property of those bodies and are used only to describe the examinations we help candidates prepare for.

4.1 Feedback

If you send us suggestions or feedback, you grant us an unrestricted, perpetual, royalty-free right to use it without obligation or compensation to you.

5. Term and Termination

These Terms apply while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if we reasonably suspect fraud or abuse, or if we discontinue the Services. Provisions that by their nature should survive termination will survive.

6. Privacy

Our Privacy Policy describes how we collect and use personal information, and forms part of your agreement with us.

7. Artificial Intelligence Disclaimer

MiloPrep may introduce AI-assisted study features. AI systems are probabilistic and can produce output that is incomplete, outdated, or incorrect.

You are responsible for verifying any information before relying on it, particularly for professional or examination purposes. Our explanations are study aids, not professional advice, and they are not a substitute for the official materials published by an awarding body.

7.1 No Examination Outcome Guarantee

We do not guarantee that using the Services will result in a passing score on any examination. Examination outcomes depend on factors outside our control, including your preparation, prior knowledge, and the policies of the awarding body.

7.2 No Affiliation With Awarding Bodies

CPA, CFA, EA, CAIA, FRM, CMA, CIA and CFP are trademarks of their respective awarding bodies. MiloPrep is an independent study resource. We are not affiliated with, endorsed by, sponsored by, or approved by any awarding body, and our practice questions are not actual examination questions.

8. Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY OR REPRESENTATION THAT: (I) THE SERVICES WILL MEET YOUR REQUIREMENTS; (II) YOUR USE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (III) ANY OUTPUT, EXPLANATION, OR INFORMATION OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses arising out of your use of the Services, your breach of these Terms, or your violation of any law or third-party right.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR EXAMINATION OUTCOMES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS.

11. Governing Law and Dispute Resolution

These Terms and your use of the Services are governed by the laws of the State of California, United States, without regard to its conflict of laws provisions. Your use may also be subject to other local, state, national, or international laws.

11.1 Informal Dispute Resolution

Before starting any formal proceeding, you agree to try to resolve the dispute informally by contacting support@miloprep.com. We will attempt in good faith to resolve it within 45 days of your notice.

11.2 Jurisdiction

For any dispute not resolved informally within that 45-day period, you and we agree that it will be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.

13. Miscellaneous

  • Severability: if any provision is held unenforceable, the remaining provisions stay in effect.
  • Waiver: failure to enforce a provision is not a waiver of the right to enforce it later.
  • Electronic notice: you consent to receive communications from us electronically.
  • Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

14. Modifications

We may update these Terms. When we do, we will post the updated version and revise the "Last updated" date. Unless stated otherwise, changes take effect immediately for users without an account, and thirty days after posting for users with an account. If you do not agree to a change, stop using the Services.
